THE APPLICABILITY OF THE T&C (Consumer Protection Act)
These General Terms and Conditions (T&C) apply exclusively to contracts with consumers and retailers concluded through the website www.crossblades.ch with Valdea Technologies GmbH, Webereistrasse 59, CH-8134 Adliswil. A sale to traders is completed the same way. These Terms and Conditions apply to all offers, deliveries and services provided by Valdea Technologies, regardless of the method with which the contract was concluded. Only orders from our system can be accepted as a mandate to supply. The T&C are accepted and agreed with once the order/payment has been received. Orders cannot be accepted without the agreement to the T&C. Valdea Technologies has the right to modify these T&C at any time.
Valdea Technologies sells its goods on www.crossblades.ch exclusively in Switzerland. All other consumers in the EU area must contact our distributor on www.crossblades.com. The offers and prices listed in brochures, advertisements and other promotional material are subject to confirmation and are not binding. The prices include the statutory charge for value added tax (only valid for Switzerland). Payments can only be made by bank transfer to one of our specified bank accounts, credit card or over Paypal. The buyer may only offset claims against our claims if the counterclaims are undisputed or legally established. The buyer is entitled to withhold payment for counterclaims from the same contractual relationship.
Provided a fixed deadline or date has not been agreed in writing, our deliveries and services will be arranged as soon as possible, to arrive, at the latest, within a period of approximately four weeks. In the event that we fail to meet an agreed delivery date, the buyer has to set a reasonable period of grace, which under no circumstances must be less than 12 working days. The buyer is entitled to the statutory rights in the case of defects in the delivered goods.
We retain the title for the delivered goods until payment of the purchase price for these goods has been received in full. During this retention of title, the buyer of the goods (hereinafter: reserved goods) may not sell or otherwise dispose of this property. In the event that a third party wishes to access the property, in particular bailiffs, the buyer must point out our ownership rights to the reserved goods and notify us immediately so that we may enforce our proprietary rights. If the buyer is in breach of the contract, in particular if payments are delayed, we are entitled to demand the return of the reserved goods, if we have withdrawn from the contract.
The relationship between us, our customers, are subject exclusively to Swiss law.
If the customer is a dealer or a public corporation, our registered office is the place of jurisdiction for all possible disputes arising from the business relationship between us and the customer. Our registered office is also the place of performance. This regulation shall not affect mandatory legal provisions on exclusive jurisdictions/consumers or similar entities.
SHIPPING COSTS
For orders with a goods value of more than CHF 200, Valdea Technologies pays the shipping costs. Shipping costs for orders with a lower value of goods are calculated according to weight. The shipping costs include all delivery costs (packaging, any additional costs of the logistics service provider, etc.).
The applicable VAT is included in the shipping costs (applies only to deliveries in Switzerland). Deliveries abroad are exempt from VAT. The costs apply per order.
A logistics service provider of our choice will deliver the order(s) to the shipping address you have provided.
GUARANTEE / WARRANTY
The articles on offer in the online shop are subject to statutory warranty rights.
COMPENSATION AND LIABILITY
Valdea Technologies is excluded from all liability to the customer for damages resulting from the use of products purchased on the www.Crossblades.ch website, insofar as there is no evidence of culpable behaviour, intent or gross negligence and not otherwise indicated. The warranty period begins on the day of the transfer of risk or the date the goods are delivered and lasts twelve months, except in the case of a consumer transaction. Defects or damages caused by normal wear and tear are excluded from the warranty. The warranty is non-transferable. In the case of justifiable defects we may choose at our discretion to repair or replace the product(s).
SEVERABILITY CLAUSE
The invalidity of individual provisions of these Terms and Conditions shall not affect the validity of the remaining provisions of these Terms and Conditions. The contractual partners are obliged to agree on a new provision that comes closest to the purpose of the invalid provision. The headings of the provisions contained in these Terms of Sales are included for convenience only and may not be used for interpreting the provisions.
